NINJA TERMS
& CONDITIONS
These T&C's apply to all quotations, orders, and services provided by Instant Ninja Creative Concepts. By accepting a quotation or placing an order, the client agrees to the terms outlined below.
Quotations & Pricing
All quotations issued by Instant Ninja are valid for the period specified on the quotation.
Typical validity periods include:
• Merchandise quotations: 7–14 days
• Design and printing quotations: up to 30 days
Prices may change after the validity period due to supplier pricing adjustments, exchange rate fluctuations, or material cost changes.
Orders will only be confirmed once full payment has been received and acknowledged by Instant Ninja.
Payment Terms
Full payment is required in order to proceed with branding, manufacturing, and production.
Production or procurement will only begin once payment has been received and confirmed.
Failure to make payment may result in delays to project timelines or order fulfilment.
Artwork Approval
Clients are required to carefully review and approve all artwork proofs before production begins.
Production will only commence once written artwork approval has been received.
Once artwork and branding placement have been approved:
• No further changes can be made
• Instant Ninja will not be held responsible for any errors, spelling mistakes, or design issues contained within the approved artwork
If changes are required after approval, clients must notify Instant Ninja immediately. Where possible, the project may be placed on hold while amendments are reviewed.
Late changes may:
• delay production timelines
• incur additional costs
• require new artwork approvals
Production Timelines
Production timelines provided by Instant Ninja are estimates only.
Lead times may vary depending on:
• supplier availability
• branding methods required
• production capacity
• shipping timelines
Highly customised projects and items requiring international manufacturing (including production in China) may require lead times of 5–8 weeks or longer. Instant Ninja will communicate estimated timelines but cannot guarantee supplier production schedules.
Product Variations
Due to the nature of manufacturing and branding processes, minor variations may occur.
These may include:
• slight colour variations in printing or embroidery
• minor variations in product size or positioning of branding
• slight differences in fabric or material batches
Such variations are considered normal within the merchandise and print industry and do not constitute defects.
Minimum Order Quantities
Certain products are subject to minimum order quantities (MOQs) as determined by manufacturing suppliers.
Clients will be advised of minimum quantities when quotations are issued.
Orders below these quantities may not be possible or may incur additional costs.
Delivery & Collection
Delivery charges are specified on all quotations.
Delivery costs are calculated based on:
• delivery distance
• consignment size and weight
• courier service requirements
Clients may also arrange to collect orders from Instant Ninja premises in Midrand by prior arrangement.
Risk transfers to the client once goods are handed over to the courier or collected.
Damaged Goods & Claims
Any goods that arrive damaged, defective, or incorrect must be reported to Instant Ninja within 24 hours of delivery.
Failure to report issues within this timeframe may result in claims not being accepted.
Instant Ninja will investigate claims and liaise with suppliers to determine appropriate resolutions where applicable.
Intellectual Property
Clients are responsible for ensuring that they have the legal rights and permissions to reproduce and apply any artwork, logos, trademarks, designs, or other intellectual property supplied to Instant Ninja for branding or production purposes.
Where artwork includes copyrighted material, licensed content, or registered trademarks, the client must provide written authorisation or a letter of branding authority confirming that Instant Ninja has permission to reproduce and apply the artwork.
Instant Ninja reserves the right to request verification of such authorisation before proceeding with production.
Instant Ninja will not be held liable for any claims, damages, or legal disputes arising from the unauthorised use of intellectual property supplied by the client.
Instant Ninja also reserves the right to refuse production of artwork that may infringe upon intellectual property rights or where sufficient branding authority cannot be provided.
Client-Supplied Artwork & File Quality
Clients are responsible for supplying artwork in the correct format, size, resolution, and colour profile suitable for the intended branding or production method.
Instant Ninja will not be held responsible for poor print or production results arising from:
• low-resolution artwork
• incorrect file formats
• colour inconsistencies
• unsuitable or uneditable artwork files
Where artwork requires adjustment, recreation, or correction to meet production standards, this may:
• incur additional design costs
• require revised artwork approval
• result in extended production timelines
Instant Ninja reserves the right to advise on artwork suitability and recommend necessary changes prior to production.
Order Cancellations
Orders that have been approved and paid for may incur cancellation fees.
• Orders cancelled after approval may carry up to a 25% handling fee if products have already been pulled from warehouse stock.
• Custom-manufactured items cannot be cancelled once production has begun and will carry a 100% cancellation fee.
Storage
Instant Ninja does not provide product storage services for clients unless specifically agreed in writing.
Clients are expected to arrange delivery or collection within a reasonable timeframe after production completion.
Supplier Delays
Instant Ninja works with a network of local and international suppliers and manufacturers.
While every effort is made to ensure accurate timelines, Instant Ninja cannot be held liable for delays caused by:
• supplier production delays
• manufacturing backlogs
• shipping delays
• customs clearance
• courier disruptions
Clients will be informed of any known delays as soon as possible.
Printing & Colour Variations
Colour reproduction may vary depending on:
• screen calibration
• printing methods
• material surfaces
• fabric dye batches
Exact colour matching cannot always be guaranteed, particularly across different production runs or materials.
Governing Law
These Terms & Conditions are governed by the laws of South Africa.
Any disputes arising from services or orders provided by Instant Ninja will fall under the jurisdiction of South African courts.
